Terms of Service

These Terms of Service (the “Terms”) govern access to and use of PayerScore, a paid business software service operated by M2 AI, LLC (“M2 AI,” “we,” “us,” or “our”) at payerscore.app. By accessing or using PayerScore, you agree to these Terms. If you use PayerScore for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. Eligibility and business use

PayerScore is intended for commercial and business users who are at least 18 years old. You must have legal authority to use the connected QuickBooks® Online company and to access the customer, invoice, payment, and receivables information analyzed through the service.

2. What PayerScore provides

PayerScore is business receivables and decision-support software. It retrieves historical records from the connected QuickBooks® Online company and calculates each customer’s on-time score as the percentage of settled invoices paid on or before their due date. It also presents supporting invoice history and current open receivables.

Results depend on the accuracy, completeness, dates, links, and allocations in the connected records. PayerScore does not independently verify the underlying transactions, and historical payment behavior does not guarantee future behavior or payment.

3. Prohibited consumer-eligibility use

PayerScore is intended solely as a business receivables and payment-history analysis tool. It is not a consumer credit score, credit bureau, consumer reporting agency, consumer report, or guarantee of creditworthiness or future payment.

PayerScore is not designed or intended to determine an individual’s eligibility for personal, family, or household credit, employment, housing, insurance, government benefits, or other consumer eligibility decisions. You are responsible for ensuring that your use of PayerScore and any decisions you make based on PayerScore comply with applicable laws, regulations, contracts, and internal policies.

4. No professional advice

PayerScore does not provide accounting, legal, tax, financial, lending, credit-approval, underwriting, or collection advice. You remain responsible for reviewing the underlying records, applying appropriate business judgment, and obtaining professional advice when needed.

5. QuickBooks connection

PayerScore uses authorization you grant through Intuit to retrieve the company, customer, invoice, payment, and credit-memo information needed to provide the service. The application’s QuickBooks integration is implemented as read-only: it sends data-retrieval requests and does not modify QuickBooks accounting records.

You may disconnect through PayerScore at any time. Revoking PayerScore from inside QuickBooks is different from using PayerScore’s Disconnect control and does not automatically cancel Stripe billing. See “Subscriptions, cancellation, and disconnection” below.

6. Your responsibilities

You are responsible for the accuracy and lawful use of your business records; the security of your devices, browser session, connected QuickBooks account, and authentication credentials; and decisions made using the service. Notify us promptly if you suspect unauthorized use.

You may not:

  • access a company or information you are not authorized to access;
  • use PayerScore unlawfully or to violate another person’s rights;
  • misuse customer information or use PayerScore for a prohibited consumer-eligibility decision;
  • bypass security, probe for vulnerabilities, or attempt unauthorized access to the service or its infrastructure;
  • interfere with, overload, scrape, or disrupt the service;
  • reverse engineer PayerScore except where applicable law does not permit that restriction; or
  • resell or sublicense PayerScore without our written permission.

7. Subscriptions and billing

PayerScore is currently offered as a monthly subscription for one connected QuickBooks Online company. Current pricing and billing frequency are displayed before purchase in Stripe Checkout. Subscriptions automatically renew for successive billing periods until canceled. We may change pricing for future billing periods with appropriate notice.

Stripe processes payment-card information and hosts Checkout and the billing portal. PayerScore does not receive or store full payment-card numbers. You can open the Stripe-hosted billing portal through “Manage billing” to review billing status and available cancellation options. The cancellation timing shown in that portal controls; paid access continues only while Stripe reports the subscription as active or trialing.

8. Canceling, disconnecting, and revoked authorization

  • Cancel through the billing portal: Stripe applies the cancellation timing shown in the portal. PayerScore updates access after receiving the corresponding signed Stripe event. The QuickBooks connection remains until you separately disconnect it.
  • Disconnect through PayerScore: if an active subscription exists, PayerScore first requests immediate cancellation from Stripe. Only after Stripe confirms cancellation does PayerScore delete the stored QuickBooks connection and clear the browser session. If cancellation cannot be confirmed, the connection is preserved so you can retry or contact support.
  • Revoke inside QuickBooks: Intuit may stop PayerScore from reading data, but that external revocation does not notify this application to cancel Stripe billing or delete the local connection record. You must still cancel through the billing portal, use PayerScore’s Disconnect control, or contact support.

9. Refunds

Except where applicable law requires otherwise, subscription charges are nonrefundable once paid. You may cancel future renewal through the Stripe-hosted billing portal. If you believe a charge was made in error or the service was materially unavailable, contact support promptly; M2 AI may issue a refund or credit at its discretion without creating an obligation to do so in other cases.

10. Ownership

M2 AI owns PayerScore and its software, site design, branding, interfaces, scoring presentation, code, documentation, and other applicable intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use the service during an active subscription. You and your licensors retain rights in your underlying business and accounting information. These Terms do not transfer ownership of that information to M2 AI.

11. Third-party services

PayerScore depends on Intuit and QuickBooks Online for authorization and accounting data, Stripe for billing, Vercel for application hosting, and Supabase for private database hosting. Those services operate under their own terms and policies. Their outages, changes, suspensions, or errors may affect PayerScore, and M2 AI does not control their platforms.

12. Availability and changes

PayerScore is provided on an “as available” basis. Maintenance, security work, provider outages, internet failures, or other events may interrupt service. We may improve, modify, suspend, or discontinue functionality and will provide reasonable notice when a material change makes notice appropriate. No service-level agreement applies unless M2 AI separately agrees to one in writing.

13. Disclaimer of warranties

To the maximum extent permitted by law, M2 AI disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free service; complete or accurate QuickBooks records; error-free calculations; any customer’s future payment behavior; or a particular financial, credit, collection, or business result. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

14. Limitation of liability

To the maximum extent permitted by law, M2 AI will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, data, opportunities, goodwill, or business, arising from or related to PayerScore, even if advised that such damages are possible. This includes claims involving payment-term decisions, customer payment behavior, inaccurate or incomplete accounting records, service interruptions, or third-party platform failures.

To the maximum extent permitted by law, M2 AI's total aggregate liability arising from or related to PayerScore will not exceed the greater of (a) the fees you paid for PayerScore during the twelve months immediately before the event giving rise to the claim or (b) one hundred U.S. dollars. This limit applies collectively to all claims and theories of liability. Some jurisdictions do not allow certain liability limitations, so parts of this section may not apply to you.

15. Indemnification

To the extent permitted by law, you agree to defend and indemnify M2 AI and its officers, members, employees, and contractors from third-party claims, damages, losses, and reasonable costs arising from your unlawful use of PayerScore, unauthorized access to data, violation of these Terms, or violation of another person’s rights. M2 AI will provide reasonable notice and permit you to control the defense, subject to M2 AI’s right to participate with its own counsel.

16. Suspension and termination

We may suspend or terminate access for nonpayment, a security threat, abuse, fraud, unlawful conduct, or a material violation of these Terms. On termination, your right to use PayerScore ends. Billing and deletion remain governed by the cancellation and disconnection procedures above, and provisions that by their nature should survive termination will survive.

17. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to any applicable law that requires otherwise, the state and federal courts located in Fort Bend County, Texas have exclusive jurisdiction over disputes arising from or related to these Terms or PayerScore, and each party consents to their personal jurisdiction and venue.

18. Changes to these Terms

We may update these Terms. We will update the “Last Updated” date and provide reasonable notice of material changes where appropriate. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.

19. General terms

If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; M2 AI may assign them in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all relevant assets. These Terms and any written order or supplemental agreement are the entire agreement concerning PayerScore and replace prior discussions on that subject. Headings are for convenience only.
